Isaac Lustgarten  

Isaac B. Lustgarten is a Founder of Occam Regulatory Solutions
LLC and a former Managing Director. He is a financial services
regulatory lawyer with experience as a partner in major law firms,
a regulatory/compliance consultant, and in-house counsel at a
regulator responsible for advising on regulatory issues,
implementing advice, and developing best practices. Much of his
practice at this time involved Dodd Frank implementation. He
focuses on regulatory and compliance matters and strategic
planning and counseling for both US and European financial
institutions (funds, broker dealers, asset managers, and
insurance companies) and banks. In addition to providing
corporate governance and securities and bank regulatory
counseling, he has represented significant financial institutions
in a broad range of matters, including mergers and acquisitions,
debt and equity offerings, structured finance transactions, new
product development, corporate governance, anti-money
laundering, capital adequacy, e-commerce, and internal

Isaac has worked on over a dozen bank acquisitions, and the
acquisitions by non-US banks of numerous leasing companies,
investment managers, mutual fund complexes, investment
banks, and venture capital firms in the US. Much of Isaac’s
practice involves advising non-US banks on the US regulatory
impact of their non-US acquisitions and mergers. In this context,
he has represented several of the world’s top 30 banks in their
mergers with other banks and their acquisitions of insurance
companies, industrial companies, investment managers, and
investment banks.

A frequent speaker at financial services industry conferences and
author of numerous articles, Isaac’s articles on bank capital
adequacy requirements, derivatives, and the US regulation of
financial institutions have appeared in

Isaac has recently written and spoken on corporate governance
issues including a recent Securities Industry Association
Conference on the impact of corporate governance reform on the
activities of financial institutions and at New York University for
the spring semester on the Legal and Regulatory Aspects of
Corporate Governance. Two of Euromoney's Legal Guides have
listed Isaac as one of the world's leading corporate governance
lawyers and one of the world's leading banking lawyers, and he

A magna cum laude graduate of Princeton University, Isaac
received his law degree from Columbia University where he was
Managing Editor of the
Journal of Transnational Law.

Howard Matz

Howard J. Matz has over 25 years of experience in structuring and
executing over $4 billion of complex, asset based capital market
solutions for energy and infrastructure assets located worldwide.
Howard most recently was Managing Director and head of Debt
and Capital Markets at Abatis Capital, LLC, a private equity firm,
based in New York City.

Prior to Abatis, Howard was a Director of the Debt and Capital
Markets team at AllCapital, where, of note, he was responsible
for arranging a $1 billion, fully underwritten, non-recourse credit
facility that was the underpinning for AllCapital’s winning bid to
acquire a 1,706 MW portfolio of generating assets amidst the
turbulent capital markets of 2007.

Howard was a Senior Vice President and head of Project Finance
for Covanta Energy Group where he was responsible for
arranging non-recourse infrastructure project financings for both
green-field development and acquisition opportunities. Howard
arranged the first financing for a base loaded private power
project and high voltage transmission line in Asia without any
government guarantee and the first registered non-recourse
bond financing in an emerging market. This project was awarded
Asia Money’s 1997 Project Finance Deal of the Year Award, the
1998 Deal of the Year Award from
Independent Energy
magazine, and IFR Asia’s 1997 Project Finance Deal of the Year.

Prior to Covanta, Howard held a variety of executive positions with
organizations including Sumitomo Bank, Westpac Banking
Corporation, Windlass LLC, and the First Southwest Company.

Howard graduated with a Bachelor of Architecture from Carnegie-
Mellon University and a Master of Building Sciences from
Carnegie-Mellon University, with studies at the Graduate School
of Business and the School of Urban and Public Affairs.
